This seminar looked at "Major Business Combination Cases in FY2014" published by JFTC on June 10, 2015 and included an analysis of the characteristics of the latest cases; trends in the JFTC's decision-making criteria; trends in investigation methods and the evidence adopted; as well as the use of economic analysis. The published cases from FY2014 revealed views and investigation methods that JFTC had not previously adopted. In particular, certain cases made it clear that decisions were based explicitly on the outcome of economic analysis conducted by the authorities, even going so far as to show the resulting figures. These cases included Case 3: Oji Holdings Corporation's acquisition of shares in Chuetsu Pulp & Paper Co Ltd; Case 5: Integration of LP gas business by Cosmo Oil Co., Ltd., Showa Shell Sekiyu Co., Ltd., Sumitomo Corporation, and TonenGeneral Sekiyu Co., Ltd., etc.; and Case 7: Integration of Zimmer and Biomet. These economic analysis methods and potential points of contention were also discussed at the seminar.
